Article 1 (Scope of Application)

1. These Hobonichi ID Terms (the “Terms”) shall apply to users (the “Users”) of services (the “Services”) designated by Hobonichi Co., Ltd. (the “Company”) among various services provided by the Company and the Hobonichi ID Members (defined in the following Article).
2. The Company may modify these Terms in accordance with the provisions of the Civil Code of Japan. In such a case, the terms and conditions of use of the Hobonichi ID (as defined in the following Article) shall be based on the modified Terms. The Company shall make the modified Terms and the effective date thereof known to the public by posting the modified Terms on the Internet site or by other appropriate means, and the modified Terms shall become effective when such effective date arrives. In such a case, the Users' use of the Services after the modification to these Terms above have been made known to the public shall be deemed to indicate the Users' acceptance of the modified Terms.
3. In the event that there are any precautions or other matters posted by the Company on the Services (the “Precautions”), the Precautions shall constitute a part of these Terms.

Article 2 (Hobonichi ID Members)

1. The ”Hobonichi ID Members” are persons who have registered the necessary information as determined by the Company on the Services and use the Company's unique ID (the “Hobonichi ID”) (such information registration procedure is hereinafter referred to as the “ID Registration”). After the ID Registration, the Hobonichi ID Members may use the Services.
2. The Users shall be deemed to have agreed to the contents of these Terms at the time of the ID Registration.
3. The Users shall comply with the following conditions at the time of the ID Registration:
   1. ID Registration shall be done by the Users himself/herself with the login information (including but not limited to e-mail address and password, or Google account or Apple ID for sign-in) that the Users possess, and the Users shall enter accurate information at the time of the ID Registration;
   2. if there is any change in the registered login information, the Hobonichi ID Members shall promptly register the changed information; and
   3. multiple IDs may not be registered or held by a single User.
4. When using the Services, the Hobonichi ID Members shall enter the login information registered at the time of ID Registration, and the Company shall deem any act conducted using a login information to be an act conducted by the Hobonichi ID Members whose login information registered with the Company matches the login information entered in such form. Even in the event that a third party other than the Hobonichi ID Members uses the Hobonichi ID Members' Hobonichi ID due to theft, misuse or other reasons, the liability for such act shall be borne by the Hobonichi ID Members whose ID registration information matches such login information, unless such liability is caused by the Company's willful misconduct or gross negligence. Even if the Company is liable, the Company shall not be liable for any indirect damage, special damage, consequential damage, loss of profit or incidental damage that the Hobonichi ID Members suffer, except in cases of the Company's willful misconduct or gross negligence.
5. When using the Services, the Hobonichi ID Members shall confirm and agree to the terms of service for each of the Service (the “Service-Specific Terms”) before using the Services.

Article 3 (Handling of Personal Information)

• The Company handles the Users' information (including information related to the Users' terminal usage history, terminal identification information, and personal information of the Users in the Services or outside of the Services) in the Services appropriately in accordance with the Privacy Statement separately stipulated by the Company.

Article 4 (Liability of the Company and Hobonichi ID Members)

1. The Company shall not be liable for any damages (including, but not limited to, mental anguish or other financial loss incurred by the Hobonichi ID Members or any third party in addition to damages set forth in each item in this paragraph) arising out of the use by the Hobonichi ID Members or unavailability of the Services incurred by the Hobonichi ID Members unless such damages are caused by the Company's willful misconduct or gross negligence. Even if the Company is liable, the Company shall not be liable for any indirect damage, special damage, consequential damage, loss of profit or incidental damage that the Hobonichi ID Members suffer, except in cases of the Company's willful misconduct or gross negligence.
   1. Damages incurred by the Hobonichi ID Members as a result of unauthorized modification of the Services, unauthorized access to data related to the Services, computer viruses, or other illegal acts, despite the Company's reasonable security measures.
   2. Damages caused by interruption of, delay of, discontinuation of, loss of data of, or unauthorized access to the system or the services due to failure of communication line or computer.
2. The Company shall not be liable for any trouble between the Hobonichi ID Members and any other third party when the Hobonichi ID Members use the Services unless such trouble is caused by the Company's willful misconduct or gross negligence, and the Hobonichi ID Members shall resolve such trouble at their own expense and responsibility. Even if the Company is liable, the Company shall not be liable for any indirect damage, special damage, consequential damage, loss of profit or incidental damage that the Hobonichi ID Members or other third parties suffer, except in cases of the Company's willful misconduct or gross negligence.
3. In the event that the Company or a third party suffers damages as a result of the Hobonichi ID Members' violation of these Terms or the Service-Specific Terms, such Hobonichi ID Members shall compensate for such damages at his/her own expense and responsibility.

Article 5 (Prohibited Acts of Hobonichi ID Members)

• The Hobonichi ID Members shall not engage in any of the following acts or any act that the Company determines as having a possibility of falling under any of the following acts when using the Services:
  1. Any act that violates or encourage violations of laws and regulations, court judgments, decisions or orders, or legally binding administrative measures.
  2. Any act that offends public order and morals or that are detrimental to good morals.
  3. Any act that defames, stalks, bullies, harasses, defraud, threatens, impersonates, or intimidates the Company, the Users, or other third parties through the Services.
  4. Any act that infringes on the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of other Users or other third parties.
  5. Any act that illegally accesses the Company's servers or other computers, or sends or writes harmful computer programs, harmful e-mails and the like.
  6. Any act that analyzes the Services or the source code of the Services.
  7. Any act that uses the Services for commercial purposes.
  8. Any act that leads to criminal acts.
  9. Any act of reproducing, selling, publishing, or otherwise using information obtained through the Services beyond the scope of private use.
  10. Any act that interferes with the operation of the Services or damages the Company's credibility.
  11. Any act that provides information for the purpose of sales or profit.
  12. Any act that intentionally provides false information or threatens to cause inconvenience to the Company by using the Services.
  13. Any act that transfers, sells, lends, or offers as collateral to any third party a status as the Hobonichi ID Members in relation to the Services or its rights and obligations based on such status.
  14. Any other acts that violate or may violate laws and regulations, ordinances, public order and morals, or these Terms.

Article 6 (Measures for Breach of these Terms)

1. If the Company determines that the Hobonichi ID Members falls under any of the following or is likely to fall under any of the following, the Company may take necessary actions (including, but not limited to, legal action), such as terminating the Services, terminating the registration of the Hobonichi ID Members, or claiming compensation for damages. The Company shall not be liable for any damage or disadvantage incurred by the Hobonichi ID Members as a result of such action, unless such damage or disadvantage is caused by the Company's willful misconduct or gross negligence. Even if the Company is liable, the Company shall not be liable for any indirect damage, special damage, consequential damage, loss of profit or incidental damage that the Hobonichi ID Members suffer, except in cases of the Company's willful misconduct or gross negligence.
   1. In the event that the Hobonichi ID Members breaches any provision of these Terms or the Service-Specific Terms.
   2. In the event that the Hobonichi ID Members fails to pay the usage fees for the Services or the payment for the goods and the like.
   3. In the event that the Company deems it necessary to protect the human life, body, or property.
   4. In the event that the Company determines that the Users is an anti-social force and the like, or is involved in any way with anti-social forces and the like through the provision of funds or otherwise.
   5. In the event that the Company deems it necessary for the operation and maintenance of the Services.
   6. In the event that the Hobonichi ID Members cannot be contacted for a long period of time due to death, disappearance, or other reasons.
   7. In any other cases where the Company deems it appropriate to forcibly terminate the Services.
2. The Hobonichi ID Members shall not be exempted from its obligations and liabilities arising under these Terms to the Company and third parties even if the provision of the Services is involuntarily terminated.
3. The Company shall not be liable for any damages incurred by the Hobonichi ID Members as a result of any action taken by the Company pursuant to Paragraph 1 of this Article.

Article 7 (No Warranty)

• The Company makes no warranty of any kind with respect to the following items in the Services. When using the Services, the Hobonichi ID Members shall determine the usefulness of the Services and the information and services provided through the Services, and use them at their own responsibility.
  1. The usefulness, suitability, completeness, accuracy, safety, legality, and up-to-dateness and the like of all information provided on the Services.
  2. That the Services and the goods, services, information and the like available through the Services are appropriate and meet the wishes or expectations of the Hobonichi ID Members.
  3. That there is no malfunction, error, or failure in the provision of the Services.
  4. That e-mails, web contents and the like sent in connection with the Services do not contain computer viruses or other harmful contents.
  5. That the existence or identity of the Services is maintained.

Article 8 (Modification, Suspension and Termination of the Services)

1. The Company may modify, suspend, or terminate all or part of the Services without prior notice to the Hobonichi ID Members.
2. The Company shall not be liable for any disadvantage or damage incurred by the Hobonichi ID Members as a result of a modification, suspension, or termination of all or part of the Services, unless such advantage or damage is caused by the Company's willful misconduct or gross negligence. Even if the Company is liable, the Company shall not be liable for any indirect damage, special damage, consequential damage, loss of profit or incidental damage that the Hobonichi ID Members suffer, except in cases of the Company's willful misconduct or gross negligence.

Article 9 (Exclusion of Antisocial Forces)

• The Hobonichi ID Members represents that he/she does not and will not fall under the category of an antisocial force (meaning an organized crime group, a member of an organized crime group, a former member of such a group who ceased to be a member less than five years ago, quasi-constituents of an organized crime group, a corporate extortionist (sokaiya), racketeering organization proclaiming to be a social activist, group committing special intellectual crimes, or any other person or entity equivalent thereto.), and that he/she will not engage in any illegal acts such as violent acts, fraudulent or threatening acts, or obstructing business operations. In the event of a breach of such representations, the Hobonichi ID Members shall accept suspension of the Hobonichi ID and the Services or cancellation of the Hobonichi ID and the Services without objection.

Article 10 (Prohibition of Assignment of Rights and Obligations)

• The Hobonichi ID Members shall not assign its status as the Hobonichi ID Members with respect to the Services or its rights and obligations based on such status to any third party or offer them as collateral, except with the Company's prior consent.

Article 11 (Governing Law and Jurisdiction)

1. The original of these Terms shall be the Japanese version, and these Terms shall be governed by and construed in accordance with the laws of Japan.
2. In the event of any dispute arising out of or in connection with the Services or these Terms, the Hobonichi ID Members agree to submit to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.
